CCI Approves Merger of Ring Plus Aqua and Maini Precision into JKMPTL, Demerger of Aerospace Business into JK Maini Global Aerospace Ltd

On May 27, 2025, the Competition Commission of India (CCI) approved a significant corporate restructuring involving the merger of Ring Plus Aqua Limited (RPAL) and Maini Precision Products Limited (MPPL) into JK Maini Precision Technologies Limited (JKMPTL), followed by the demerger of JKMPTL’s aerospace business into JK Maini Global Aerospace Limited (JKMGAL). This decision marks a pivotal development in India’s industrial and aerospace sectors, aligning with the country’s push for self-reliance and global competitiveness in manufacturing.

Details of the Corporate Restructuring
The approved transaction involves two key steps:
  1. Merger System: The consolidation of Ring Plus Aqua Limited (RPAL) and Maini Precision Products Limited (MPPL) into JK Maini Precision Technologies Limited (JKMPTL).
    • RPAL specializes in manufacturing and exporting ring gearsflex plates, and water pump bearings, catering to automotive and industrial applications.
    • MPPL focuses on producing precision products tailored to customer design requirements across various industries.
    • JKMPTL, currently without operations, will serve as the entity absorbing RPAL and MPPL to streamline operations and enhance efficiency.
  2. Demerger: The transfer of JKMPTL’s aerospace business into a separate entity, JK Maini Global Aerospace Limited (JKMGAL), which is also currently non-operational. This move aims to create a specialized focus on aerospace manufacturing, aligning with India’s growing role in the global aerospace sector.
This restructuring follows a previous CCI approval on March 6, 2024, for a related transaction (Combination Registration No. C-2023/12/1089). However, changes in the transaction structure necessitated a fresh approval, which was granted on May 27, 2025.
Significance of the Transaction
The merger of RPAL and MPPL into JKMPTL is expected to consolidate manufacturing capabilities, enabling the combined entity to leverage economies of scale, enhance innovation, and strengthen its position in both domestic and international markets. The demerger of the aerospace business into JKMGAL reflects a strategic focus on specialized aerospace manufacturing, aligning with India’s Aatmanirbhar Bharat initiative to bolster indigenous production in high-tech sectors. The CCI’s approval ensures that the restructuring complies with competition regulations, preventing any adverse impact on market competition. This move is poised to enhance India’s industrial and aerospace sectors, contributing to economic growth and global competitiveness.
The restructuring strengthens India’s manufacturing ecosystem by integrating key players in precision engineering and aerospace. By consolidating RPAL and MPPL, JKMPTL can optimize resources, improve operational efficiency, and expand its export potential. The creation of JKMGAL as a dedicated aerospace entity positions India to capitalize on the growing global demand for aerospace components, supporting initiatives like Make in India and fostering innovation in high-tech industries.
